Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you, on behalf of yourself and the organization you represent (“you” or “Customer”), and Zynctex (“Zynctex,” “we,” “us,” or “our”), governing your access to and use of ZyncProp, our real estate lead management and commission CRM platform (the “Service”). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

ZyncProp is a subscription software platform that helps real estate teams capture and route leads, manage pipelines, track appointments, calculate commissions, and communicate with leads, including through connected WhatsApp Business numbers. We may add, change, or remove features from time to time.

2. Accounts and Eligibility

You must provide accurate and complete information when creating an account and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@zyncprop.com if you suspect unauthorized use of your account. You must be at least 18 years old and have authority to bind your organization to these Terms.

If you register on behalf of an organization, you represent that you are authorized to accept these Terms on that organization's behalf, and “you” in these Terms refers to both you individually and that organization. Your organization's administrator is responsible for managing which team members have access to the Service and at what permission level.

3. Subscription Plans, Fees, and Payment

The Service is offered under multiple subscription tiers, described on our pricing page, each with its own monthly per-user or flat fee and included features and usage limits. By subscribing to a paid tier, you authorize us (through our payment processor, Stripe) to charge your payment method on a recurring monthly basis until you downgrade or cancel.

• Automatic renewal. Paid subscriptions renew automatically each billing cycle unless cancelled before the renewal date.
• Fee changes. We may change our fees from time to time. We will provide at least 30 days' notice of any fee increase before it applies to your account.
• Taxes. Fees are exclusive of applicable taxes, which will be calculated and added at checkout where required.
• Overage and plan limits. Each tier includes a maximum number of user seats. If your organization reaches that limit, you will need to upgrade to a higher tier to add additional seats.

4. Free Trials and Cancellation

We may offer a free plan or a free trial of a paid tier. We may end or modify any free trial at any time without notice. You may cancel your subscription at any time from within the billing settings of your account; cancellation takes effect at the end of your current billing period, and you will retain access to paid features until then.

5. Refund Policy

Except where required by applicable law, fees are non-refundable, including for partial billing periods or unused features. If we materially fail to deliver the Service and do not cure that failure within a reasonable time after written notice, you may request a pro-rated refund for the affected period by contacting billing@zyncprop.com.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation, including anti-spam and data protection laws;
• Send unsolicited or misleading messages through connected messaging channels (including WhatsApp) in violation of that channel's own policies;
• Upload malicious code, or attempt to gain unauthorized access to the Service or other customers' data;
• Reverse engineer, decompile, or attempt to extract the source code of the Service, except as permitted by law; or
• Resell or white-label the Service without our prior written consent.

7. Customer Data and Intellectual Property

As between you and us, you and your organization retain all rights to the leads, contacts, deals, messages, and other content you submit to the Service (“Customer Data”). You grant us a limited license to host, process, and display Customer Data solely to provide the Service to you.

We and our licensors retain all right, title, and interest in and to the Service itself, including its software, design, and underlying technology. Nothing in these Terms transfers any ownership of our intellectual property to you.

8. Third-Party Integrations

The Service integrates with third-party platforms, including Stripe for payments and Meta's WhatsApp Business Platform for messaging. Your use of those integrations is also subject to the applicable third party's own terms and policies, which we encourage you to review. We are not responsible for the availability or conduct of third-party platforms.

9. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access to the Service if you materially breach these Terms and fail to cure that breach within 14 days of notice, if your subscription payment fails and is not resolved, or if required to comply with applicable law. On termination, your right to access the Service ends; we will retain Customer Data for a limited period following termination as described in our Privacy Policy, to allow you to export it, after which it may be deleted.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY COMMISSION CALCULATIONS, LEAD ROUTING, OR AUTOMATED MESSAGES WILL BE ACCURATE OR SUITABLE FOR YOUR PARTICULAR BUSINESS NEEDS. YOU REMAIN RESPONSIBLE FOR REVIEWING AND VERIFYING ANY FINANCIAL OR COMPLIANCE-RELATED OUTPUT BEFORE RELYING ON IT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RESPONZIX AI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to indemnify and hold Zynctex harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your breach of these Terms, your Customer Data, or your violation of any law or third-party right.

13. Governing Law

These Terms are governed by the laws of the jurisdiction in which Zynctex is incorporated, without regard to its conflict-of-laws principles, unless a mandatory local consumer-protection law applicable to you provides otherwise.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through an in-product notice before the change takes effect. Continued use of the Service after a change takes effect constitutes acceptance of the revised Terms.
